Joint Venture Entities

The lawyers at Saphier and Heller have formed and represented various types of joint venture entities and participants, including joint ventures between hospitals and physicians, joint ventures between hospitals and business entities, and joint ventures between medical groups and business entities.

These ventures typically involve formation of limited liability companies, preparation of management agreements, and other contracts.

These projects also typically require significant regulatory analysis, including the applicability of exemptions under the Stark law, the requirements of safe harbor rules under the federal anti-fraud and abuse statute, as well as analysis of similar state laws.

Many of our joint venture projects have involved imaging centers.
