Hospitals
The hospital work undertaken by Saphier and Heller has included a wide range of transactions and regulatory advice. The transactions we have handled include many different types of agreements with physician groups and individual physicians, including joint venture projects (e.g., imaging centers and ambulatory surgical centers), coverage agreements, teleradiology agreements, management agreements, hospital-based physician agreements, consulting agreements, and other service agreements.
Regulatory work that we have undertaken for hospital clients includes advice regarding self-referral laws (e.g., Stark and Speier), federal and state fraud and abuse laws, corporate practice of medicine, licensing, compliance, and HIPAA.
We have provided legal services to nonprofit hospitals and for-profit hospitals, as well as to hospital systems and related organizations, such as foundations, thrift stores, and real estate entities. This work has included the formation, dissolution, and merger of entities, preparation of executive employment agreements, attendance at board of directors meetings, and general corporate advice.
